Africa Bitcoin Corporation Names Interim CEO After Three Senior Figures Receive 20-Year FSCA Bans

Africa Bitcoin Corporation has appointed Stafford Masie as interim CEO after South Africa’s financial regulator handed three senior figures linked to the company 20-year bans from the financial services industry.

The affected individuals are founder and former CEO Warren Wheatley, chief investment officer Akshay Karan, and Tatum Keshwar-Wheatley, who headed the company’s media and investor relations function.

South Africa’s Financial Sector Conduct Authority, or FSCA, also imposed penalties totalling R10 million after finding that the three acted together in share trades that artificially inflated the price of Altvest Capital shares or created a false impression of market demand.

At the time of the trades, Africa Bitcoin Corporation was still called Altvest Capital and had not yet become the Bitcoin treasury company investors know today.

FSCA Hands Three Senior Figures 20-Year Bans

The enforcement action became public in early September after Africa Bitcoin Corporation disclosed that its board had been informed of FSCA decisions affecting Wheatley, Karan and Keshwar-Wheatley.

The company’s September 1 SENS announcement said the debarments prevent the three from providing or being involved in financial products or services, acting as key persons at financial institutions, or performing certain other roles in the financial sector.

A few days later, the FSCA disclosed what had led to the action.

According to the regulator’s findings reported by Eyewitness News, Wheatley, Keshwar-Wheatley and Karan coordinated trades in Altvest shares between September 5 and September 8, 2022.

The FSCA found that those trades artificially increased the share price and/or created a false or deceptive appearance of demand, supply or trading activity.

At that time, Altvest was listed on the Cape Town Stock Exchange.

The Penalties Total R10 Million

The FSCA imposed a combined R10 million in administrative penalties.

According to a detailed breakdown of the regulator’s action published by Moonstone, the penalties were divided as follows:

  • R5 million against Warren Wheatley and WGW Capital, jointly and severally.
  • R3 million against Tatum Keshwar-Wheatley and Tatum Keshwar Investments, jointly and severally.
  • R2 million against Akshay Karan.

Each of the three individuals was also debarred for 20 years.

The FSCA said the conduct breached South Africa’s Financial Markets Act.

Africa Bitcoin Corporation Moves Quickly

Africa Bitcoin Corporation’s board says it learned about the decisions on August 30, 2026.

By the following day, the company had started changing its leadership structure.

Its formal market announcement says Wheatley and Karan were placed on precautionary leave from their CEO and CIO roles, as well as from other executive, management, advisory and decision-making responsibilities across the group.

The company also suspended the services provided by Keshwar-Wheatley through her consulting business.

Those measures took effect on August 31.

The board described the moves as precautionary rather than disciplinary. It also stressed that the steps did not represent an independent judgment by the board on whether the FSCA’s findings were correct.

Meanwhile, Wheatley resigned as a director of Africa Bitcoin Corporation.

Wheatley, Karan and Keshwar-Wheatley also resigned from the board of Altvest Credit Opportunities Fund, a wholly owned ABC subsidiary.

That left the company needing someone else in the CEO chair.

Stafford Masie Steps In as Interim CEO

The board turned to Stafford Masie, who was already an executive director and Africa Bitcoin Corporation’s director of Bitcoin strategy.

Masie formally became interim CEO on August 31, 2026.

Under the interim arrangement, he will also oversee executive matters relating to the Altvest Credit Opportunities Fund, although he will not serve as a director of that subsidiary.

Masie is well known in South Africa’s technology sector.

Africa Bitcoin Corporation’s current leadership profile says he has more than 30 years of experience across technology and payments. His previous roles include serving as Google’s country manager for South Africa, as well as positions at Telkom, Dimension Data and Novell.

He also founded payments company Thumbzup and has served on the boards of organisations including Discovery Bank and the Council for Scientific and Industrial Research.

More recently, Masie has become a prominent Bitcoin advocate.

The Three Dispute the FSCA Findings

The story is also not necessarily finished.

Wheatley, Karan and Keshwar-Wheatley dispute the regulator’s findings.

Africa Bitcoin Corporation said in its SENS announcement that the three intended to approach South Africa’s Financial Services Tribunal to seek reconsideration of the decisions and to request their suspension.

The company nevertheless treated the FSCA decisions as effective when it announced its leadership changes.

That explains why the board moved immediately rather than waiting for a potentially lengthy challenge to play out.

The company said its actions were designed to protect its regulatory position and maintain operational continuity while the affected individuals exercised their legal rights.

What Happens to Africa Bitcoin Corporation’s Bitcoin Strategy?

Africa Bitcoin Corporation says its operations and broader strategy continue under the interim leadership structure.

The company has positioned itself as Africa’s first listed Bitcoin treasury company, while also retaining its private credit business.

It holds Bitcoin as a strategic reserve asset and has made Bitcoin accumulation a major part of its corporate identity.

Masie was already responsible for Bitcoin strategy before taking over as interim CEO, which provides some continuity on that side of the business.

According to the company, the FSCA decisions do not by themselves change ABC’s legal structure, the investment mandate of its credit subsidiary, or the rights attached to its securities and investment products.

However, the board and advisers are assessing the wider regulatory, operational and financial effects.
